Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Assistly website and macOS application (together, the “Service”), operated by Zigzag Technologies, a sole proprietorship (“Assistly,” “we,” “us,” or “our”). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Assistly application for your personal or internal business use. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.

3. Acceptable & responsible use

Assistly is a productivity tool. You are solely responsible for how you use it and for ensuring your use complies with all applicable laws, rules, and agreements. In particular, you agree to use Assistly only within the rules of any interview, examination, certification, meeting, or other engagement in which you take part. Using the Service in a manner that violates the rules of a third party, constitutes academic dishonesty, or breaches any agreement you are subject to is your responsibility, not ours.

You also agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or related systems;
  • Resell, sublicense, or commercially exploit the Service without our consent.

4. Subscriptions, billing & payment

Some features of the Service require a paid subscription. Payments are processed by our third-party payment processor, Stripe, Inc., and by purchasing you also agree to Stripe’s applicable terms.

  • Pricing — fees are displayed at the point of purchase and are charged in the currency shown. We may change prices on a going-forward basis with notice.
  • Auto-renewal — subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us (through Stripe) to charge your payment method on each renewal.
  • Cancellation — you may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
  • Taxes — you are responsible for any applicable taxes not included in the displayed price.

5. Refunds

Except where required by applicable law, fees are non-refundable and there are no refunds or credits for partial billing periods. If you believe you have been billed in error, contact us at support@tryassistly.com and we will review your request in good faith.

6. Intellectual property

The Service, including its software, design, logos, and content, is owned by Zigzag Technologies and protected by intellectual-property laws. These Terms do not grant you any ownership rights in the Service. “Assistly” and associated marks are our property.

7. Third-party services

The Service relies on third-party providers (including AI model providers, Stripe, and analytics services). We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to their own terms.

8. AI-generated output

Answers and other output generated by Assistly are produced by automated systems and may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and verifying any output before relying on it. The Service does not provide legal, medical, financial, or other professional advice.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Zigzag Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Zigzag Technologies from any claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

13. Governing law

These Terms are governed by the laws of the Province of [Province/Territory] and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in that province for any dispute arising from these Terms.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
