Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Assistly website, the desktop app for macOS and Windows, the iOS app, and the web app at app.tryassistly.com (together, the “Service”), operated by Zigzag Technologies, a sole proprietorship (“Assistly,” “we,” “us,” or “our”). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Assistly apps for your personal or internal business use. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.

3. Acceptable & responsible use

Assistly is a productivity tool. You are solely responsible for how you use it and for ensuring your use complies with all applicable laws, rules, and agreements. In particular, you agree to use Assistly only within the rules of any interview, examination, certification, meeting, or other engagement in which you take part. Using the Service in a manner that violates the rules of a third party, constitutes academic dishonesty, or breaches any agreement you are subject to is your responsibility, not ours.

You also agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or related systems;
  • Resell, sublicense, or commercially exploit the Service without our consent.

Recording and transcription

Assistly transcribes the audio of the calls you run it on, including what other people say, and uses AI to assist you. You are responsible for telling the other participants that the call is being transcribed and assisted by AI, and for getting any consent the law requires, for example in places where everyone on a call must agree to it being recorded, or under the GDPR. You must not use Assistly to process other people’s personal data unlawfully.

4. Subscriptions, billing & payment

Some features of the Service require a paid subscription. Payments are processed byStripe, Inc., or by Apple or Google when you subscribe through their app stores, and by purchasing you also agree to that provider’s applicable terms. Subscriptions bought in an app store are managed and refunded under that store’s rules.

  • Pricing — fees are displayed at the point of purchase and are charged in the currency shown. We may change prices on a going-forward basis with notice.
  • Auto-renewal — subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us (through Stripe, or the app store you subscribed through) to charge your payment method on each renewal.
  • Cancellation — you may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
  • Taxes — you are responsible for any applicable taxes not included in the displayed price.

5. Refunds

All payments are final and non-refundable, except for billing errors or where refunds are required by applicable consumer-protection law. If you believe you have been billed in error, contact us at support@tryassistly.com. See our Refund Policy for full details.

6. Intellectual property

The Service, including its software, design, logos, and content, is owned by Zigzag Technologies and protected by intellectual-property laws. These Terms do not grant you any ownership rights in the Service. “Assistly” and associated marks are our property.

7. Third-party services

The Service relies on third-party providers (including AI model providers, Stripe, and analytics services). We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to their own terms.

8. AI-generated output

Answers and other output generated by Assistly are produced by automated systems and may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and verifying any output before relying on it. The Service does not provide legal, medical, financial, or other professional advice.

9. Your content and privacy

You keep ownership of the content you bring to the Service, such as recordings, transcripts, and documents. You give us permission to process it only to provide the Service to you. Our Privacy Policy explains how we handle personal data. If you use the Service for a business and act as a controller of personal data processed through it, our Data Processing Addendum forms part of these Terms automatically.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, Zigzag Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Zigzag Technologies from any claims, damages, liabilities, and expenses arising out of your use of the Service or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

14. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising from these Terms. If you are a consumer, nothing in this section takes away the protection of mandatory laws of your country of residence or your right to bring a claim in its courts.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
